Terms of Service

These Terms of Service (“Terms”) govern your use of the WorthCheckup platform (the “Service”) operated by WorthCheckup LLC, a New Mexico limited liability company (“WorthCheckup,” “we,” “us,” or “our”). By accessing or using the Service you agree to be bound by these Terms. If you don't agree, don't use the Service.

The Service provides AI-powered directional business valuations, readiness scores, and related analysis for small business owners and their advisors. Valuations are calculated using the Seller's Discretionary Earnings × industry multiple method with calibrated risk adjustments, reviewed by a large language model trained on valuation methodology.

WorthCheckup valuations are directional estimates, not certified appraisals. They are intended for planning, decision-making, and advisor conversations. They are not prepared to the Uniform Standards of Professional Appraisal Practice (USPAP) and are not suitable as standalone documentation for tax filings, estate settlements, divorce proceedings, SBA or bank lending, or litigation. You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
• Submit false, misleading, or intentionally inaccurate business data in order to manipulate output;
• Attempt to reverse engineer, decompile, scrape, or systematically extract the Service's methodology, prompts, data sources, or output;
• Resell, redistribute, or re-brand WorthCheckup-generated reports as your own work (advisors with a valid advisor account and white-label license are exempt under their separate terms);
• Use the Service to impersonate another person or business, or to submit information about a business you are not authorized to represent;
• Circumvent usage limits, payment requirements, or security measures, including attempting to access another user's account or data.

To run a valuation the Service may create an anonymous session for you. You may later convert that session to a permanent account by providing an email address. Advisors must create a dedicated advisor account via the advisor signup flow.

You are responsible for safeguarding your account credentials and for any activity that occurs under your account. Notify us immediately at support@worthcheckup.com if you suspect unauthorized access. You must be at least 18 years old to create an account.

The Service is free to try — a Worth Score and an unlocked weakest-dimension summary are available without payment. Paid products include the $99 Full Advisory Report, the $149/month and $999/year Annual Monitoring subscriptions, the $499 Exit Package, and the advisor per-report fees ($59 standard / $99 white-label).

Payments are processed by Stripe. By purchasing, you authorize us (via Stripe) to charge the payment method you provide. Subscription purchases renew automatically unless canceled before the next billing date. Refund terms are governed by our refund policy, which is incorporated into these Terms by reference.

The Service, including its software, methodology, prompts, industry multiple database, design system, and all content generated by WorthCheckup (excluding the business data you submit), is the exclusive property of WorthCheckup LLC and is protected by copyright, trademark, and trade-secret law.

You retain ownership of the business data you submit. By submitting it you grant WorthCheckup a non-exclusive, worldwide, royalty-free license to use the data to generate your report, to improve the Service (including in aggregated, anonymized form to refine industry benchmarks), and to provide customer support.

Reports generated for you are licensed to you for your own use and for sharing with your named advisors, accountants, lenders, and prospective buyers. You may not republish or resell reports except under a separate advisor or white-label agreement with WorthCheckup.

The Service provides valuations for informational purposes only. Nothing in the Service constitutes financial, investment, tax, legal, or accounting advice. Valuations are directional estimates and are not a substitute for a certified appraisal from a credentialed professional.

To the maximum extent permitted by law, the Service is provided “as is” without warranties of any kind, express or implied. WorthCheckup does not warrant that valuations will be accurate, that the Service will be uninterrupted or error-free, or that any particular result will be achieved.

In no event will WorthCheckup, its officers, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation lost profits, lost business, or lost data, arising from or related to your use of the Service — even if advised of the possibility of such damages. WorthCheckup's total aggregate liability to you for any claim arising from these Terms or your use of the Service is limited to the greater of (a) the amount you paid WorthCheckup in the 12 months preceding the claim, or (b) one hundred U.S. dollars ($100).

You are responsible for independent diligence before making material business decisions — including the decision to sell, the price at which you sell, or any action taken based on a report.

We collect and store the business information you submit, your account information, and usage data in our database hosted on Supabase. Payment information is collected and processed by Stripe; we do not store full card numbers. Your intake data is sent to Anthropic for the AI analysis step; Anthropic processes it under its enterprise terms and does not train its models on your data. We do not sell your data.

You may stop using the Service at any time. You may request account and data deletion by contacting support@worthcheckup.com. Active paid subscriptions must be canceled separately through your account or through Stripe; ending your account does not automatically cancel a recurring subscription.

We may suspend or terminate your access to the Service without notice if we reasonably believe you have violated these Terms, if required by law, or if we discontinue the Service. On termination, sections that by their nature should survive (including intellectual property, limitation of liability, dispute resolution) survive.

These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. Arbitration will be conducted in Bernalillo County, New Mexico, or by video conference at the election of the parties.

You and WorthCheckup agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative proceeding. If the foregoing sentence is held to be unenforceable, the remainder of this section will be severed.

Notwithstanding the foregoing, either party may bring an individual action in small claims court, and either party may seek equitable relief in any court of competent jurisdiction for infringement of intellectual property.

We may update these Terms from time to time. If we make material changes we will notify account holders by email or via a notice in the Service before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the new Terms.
